A project-company sale sets the basis behind the credit, so the price needs independent support

When a developer sells a solar project company to a tax equity partnership or an affiliate before the project is placed in service, the buyer's basis is generally the price it paid. Only the part of that price that belongs to eligible energy property earns a credit, and the price itself has to hold up as fair market value.

Why the price matters

Basis drives the credit; circular proofs do not

Sections 48 and 48E measure the investment credit as a percentage of energy-property basis. Using the expected credit to prove the property's value is circular; a developer markup has to be shown from the market. Our appraisers keep both points in the analysis and show the evidence in the report.

The residual method

Allocate the price among the asset classes

When the purchase is treated as an applicable asset acquisition, Treas. Reg. 1.338-6 moves the price through seven classes. Energy property is Class V. Contract rights such as power purchase agreements generally fall in Class VI. Whatever is left is goodwill in Class VII, which earns no credit.

Section 6418

Credit buyers review whether basis is supported

A buyer of a transferred credit under Section 6418 reviews whether the seller's basis rests on construction cost or on a purchase price, and how that price was supported. An independent valuation that states the approaches and the allocation is what that review starts from.

We value solar project companies and interests for tax-credit transactions

We scope each engagement to the transaction in front of you, from a single commercial rooftop or carport system to a community solar garden or a small portfolio.

What we value

Project companies, interests, and allocations

Engagements we take on include:

  • Sales to tax equity partnerships
  • Related-party transfers
  • Purchase price allocations
  • Section 6418 transfer diligence

How engagements run

From the project's own records

Most work runs remotely from construction contracts and cost reports, purchase and partnership agreements, offtake contracts, and the production and financial models. We confirm scope, a fixed fee, and the deadline before the appraisal starts.

What every report states

Standard of value, approaches, and the allocation

Every report states the standard of value applied, the approaches used, the support for any developer profit, and the residual-method allocation among the asset classes, because those are the pages a tax counsel, investor, or credit buyer turns to first.

Our solar tax-credit valuations are written for the advisors and counterparties who will read them

Sponsors, tax equity investors, credit buyers, and the CPAs and counsel who advise them engage us when a filing or closing needs a conclusion of value that did not come from an interested party.

Sponsors and investors

An independent conclusion for the deal file

A sponsor selling into tax equity, an affiliate transfer before placed-in-service, or a flip buyout of a remaining interest. The report is written so the other side of the transaction can follow the evidence.

Credit buyers and counsel

Diligence support for a Section 6418 purchase

A credit buyer reviewing seller basis, or counsel preparing the return, needs the allocation and the market support for any step-up stated clearly. We do not provide legal or tax advice; clients must seek independent professional counsel.

  • Reached out to Joe and Team in a difficult spot. A client gifted 5 Private Market LPs to a trust and needed a valuation and had a 5 week window to get it done. We had a call with Joe and he outlined what information was needed and provided an estimated cost. We received a detailed engagement letter with final cost. Joe was confident his team could get the job done on time. We received the draft valuation in approximately 4 weeks which needed to be reviewed by tax and legal counsel. When it was all said and done the final report was delivered a couple days earlier than originally promised which was a huge weight lifted off the client and his advisors. Communication is key and AppraiseItNow did a great job from start to finish and delivered exactly what they promised. Great experience!

    Business Valuation for Gift Tax

  • Responsive, professional, first class deliverables -- especially considering that that the appraised assets are extremely complex financial assets with little by way of comps. Frequently Asked Questions on Solar Project Company Valuation for Tax Credits

Is a solar tax-credit appraisal a valuation of the equipment or of the project company?

Usually of the project company or a partnership interest in it. The investment credit under Sections 48 and 48E is a percentage of the basis of energy property. When that basis comes from a purchase price, the appraisal has to support the fair market value of what was bought and allocate that price so goodwill stays out of credit-eligible basis.

What is the residual method, and why does it matter for ITC basis?

When a project-company purchase is treated as an applicable asset acquisition, Treas. Reg. 1.338-6 allocates the price through seven asset classes. Energy property is Class V. Contract rights such as power purchase agreements generally fall in Class VI. Class VII (goodwill and going concern) earns no credit. A valuation that supports a step-up has to value each class, not only the total.

Do Section 6418 credit buyers need a valuation?

A credit buyer reviews whether the seller's basis rests on construction cost or on a purchase price, and how that price was supported. An independent USPAP report that states the approaches and the allocation is the document that review starts from. Qualification and credit eligibility remain legal questions for counsel.

What documents do you need to start?

Construction contracts and cost reports, the purchase or membership-interest agreement, the operating or partnership agreement, offtake contracts, and the production and financial models. If a document does not exist yet, we say at scoping whether the valuation can proceed without it.
