  • Responsive, professional, first class deliverables -- especially considering that that the appraised assets are extremely complex financial assets with little by way of comps. The deliverable satisfied my accountants and advisers as being more than adequate to support the valuation needed to complete a conversion to a Roth IRA

Frequently Asked Questions on Kansas Business Valuations

What does the IRS look for in a Kansas business valuation?

Documentation of the business's nature and history, economic outlook, financial condition, earning capacity, dividend-paying capacity, prior sales of the interest, comparable company transactions, and goodwill, all recorded in workpapers that support the conclusion. Those factors come straight from the IRS Business Valuation Guidelines.

Will Kansas tax my company when it passes to my heirs?

No. Kansas imposes neither a state estate tax nor an inheritance tax, so a business interest transferring at death is governed by federal estate and gift tax rules alone. A qualified valuation still matters for the federal filing and for equitable treatment of heirs.

Which standard of value belongs in a Kansas buy-sell agreement?

Whichever the parties intend, stated explicitly: fair market value assumes hypothetical willing parties, investment value includes buyer-specific synergies, and intrinsic value reflects fundamental economic potential. Agreements that never define the standard set up costly disputes, because the three can produce very different prices for the same company.

Do Kansas businesses owe property tax on their machinery?

Most do not. K.S.A. 79-223 exempts machinery and equipment acquired by qualified purchase or lease after June 30, 2006, including equipment brought into Kansas to expand or start a business, and K.S.A. 79-201w exempts items below a set retail cost when new. Many operating companies therefore carry almost no taxable personal property, so county records say nothing useful about what the assets would fetch in a transfer.
