  • Responsive, professional, first class deliverables -- especially considering that that the appraised assets are extremely complex financial assets with little by way of comps. The deliverable satisfied my accountants and advisers as being more than adequate to support the valuation needed to complete a conversion to a Roth IRA

Frequently Asked Questions on Washington DC Business Valuations

What must a business valuation report disclose to be credible?

The standard of value, premise of value, effective date, the exact interest being valued, and every key assumption and information source. Those disclosures let a reviewer test the conclusion, and reports that omit them are routinely discounted by courts and the IRS. Every valuation we prepare for a D.C. business states them explicitly.

Can any accountant value a business for estate or gift tax purposes?

No, that is a common misconception. IRS practice and professional standards expect the valuation to come from someone qualified in business appraisal who follows recognized valuation standards, with documented analysis. A tax preparer's informal estimate on a return invites examination in a way a standards-compliant valuation does not.

How are business interests appraised in a DC probate estate?

Through qualified special appraisers rather than the court's standing appraisers. D.C. Probate Rule 109(d) directs the personal representative to use qualified special appraisers for joint ventures, partnerships, and business enterprises, so the estate engages a business valuation professional and files the resulting values with the inventory.

Does corporate-owned life insurance raise the estate tax value of company stock?

Yes, generally. In Connelly v. United States (2024), the U.S. Supreme Court unanimously held that $3 million of life insurance proceeds owned by a closely held corporation had to be included in valuing its shares for estate tax, even though the policy funded a buy-sell redemption. DC estates holding closely held stock should expect insurance proceeds to be counted unless a genuine, binding obligation offsets them.

Can a DC estate satisfy a cash legacy with business interests instead?

Yes, within limits. D.C. Code § 20-1102 allows a money legacy or family allowance to be satisfied in kind when the recipient has not demanded cash and no residuary legatee objects, but the distributed property must be valued at fair market value as of the distribution date, with prescribed pricing conventions for regularly traded securities. A current valuation, not the inventory figure, controls that transfer.
